1) Agreement Overview
This Usage Agreement governs your use of services, deliverables, and digital assets provided by Chaos Kollective LLC ("we," "us," or "our"). By engaging our services, you agree to the following terms.
2) Scope of Services
Services are defined in the project proposal or statement of work agreed upon between you and Chaos Kollective LLC. Any changes to scope require written agreement from both parties.
3) Client Responsibilities
You agree to:
- Provide timely access to systems, accounts, and information necessary for project delivery.
- Be responsible for the accuracy of information you provide.
4) Deliverables & Ownership
Upon full payment, you receive ownership of custom deliverables created specifically for your project, unless otherwise stated. Pre-existing tools, frameworks, and code libraries used by Chaos Kollective remain our intellectual property.
5) Payment Terms
Payment terms are as outlined in the project proposal. Late payments may result in suspension of services. All fees are non-refundable unless otherwise agreed in writing.
6) Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the agreement.
7) Limitation of Liability
Chaos Kollective LLC's total liability shall not exceed the total fees paid for the specific project. We are not liable for indirect, incidental, or consequential damages.
8) Termination
Either party may terminate the engagement with 30 days written notice. Upon termination, you are responsible for payment of work completed to date.
9) Governing Law
This agreement is governed by the laws of the State of Texas, United States.
