These Terms of Service (“Terms”) govern your access to and use of Software or Web Applications (any “Tools”), including any associated website, application, integrations, content, and features (collectively, the “Services”), owned and operated by Chaos Kollective LLC (“Chaos Kollective,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1) Eligibility; Authority; Subscription Requirement
Access to the Services is intended for business and organizational use. By accessing or using the Services, you represent that:
- You have the legal authority to enter into these Terms on behalf of yourself and/or the entity you represent; and
- If the Services require a paid subscription, you (or your organization) have an active, valid subscription (or other written authorization from Chaos Kollective) for the Services.
If you are using the Services on behalf of an organization, “you” includes the organization, and you agree to these Terms for that organization.
2) Account Registration (If Applicable)
If the Services require an account or administrator provisioning:
- You agree to provide accurate information and keep it updated.
- You are responsible for maintaining the confidentiality of credentials used to access the Services.
- You are responsible for all activity that occurs under your account or tenant access.
We may suspend or terminate accounts that violate these Terms.
3) Ownership; Intellectual Property
The Services, including the Tool, software, code, workflows, design, text, graphics, and all related intellectual property rights, are the exclusive property of Chaos Kollective LLC and its licensors, except that customer-owned or customer-branded logos, names, and trademarks (for example, “Demo Company” branded logos) remain the property of their respective owners. No rights to any customer branding are granted to Chaos Kollective except as expressly permitted by the customer or as necessary to display such branding within the Services as configured by the customer.
4) License to Use the Services
Subject to your compliance with these Terms, Chaos Kollective grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business purposes, as intended.
You may not:
- Copy, modify, distribute, sell, or lease any part of the Services (except as expressly permitted in writing by Chaos Kollective)
- Reverse engineer, decompile, or attempt to extract source code (except where such restriction is prohibited by law)
- Bypass or interfere with security or access controls
- Use the Services to create or support a competing product or service
5) Hosting, Data Location, and Subscription Validation
Tenant Hosting. The code and data are hosted within the customer’s Microsoft tenant (for example, an Demo Company Microsoft tenant) as deployed/configured for that customer.
Subscription Validation Data. The only information transmitted outside of the customer’s Microsoft tenant for subscription validation is the Company ID (or equivalent identifier) used to verify an active subscription. No other customer data is transmitted externally for this validation process.
6) Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation
- Infringe intellectual property, privacy, or other rights of any person or entity
- Upload or transmit malware, spyware, or other harmful code
- Harass, abuse, threaten, or defraud others
- Attempt unauthorized access to systems, networks, or accounts
- Disrupt, overload, or degrade the Services or any systems connected to the Services
- Use automated methods to access the Services in a manner that exceeds reasonable use or violates rate limits (if any)
We may investigate and take action at our discretion, including suspending or terminating access.
7) User Content (If Applicable)
If you submit, upload, or transmit content (including text, files, images, scripts, prompts, or other materials) (“User Content”), you retain ownership of your User Content.
You represent and warrant that you have all rights necessary to provide User Content and that your User Content and its use within the Services do not violate applicable law or these Terms.
8) Feedback
If you provide suggestions, ideas, or feedback regarding the Services, you grant Chaos Kollective the right to use that feedback without restriction and without compensation.
9) Paid Plans, Billing, and Refunds (If Applicable)
If the Services include paid features, you agree to pay all fees disclosed at purchase or as otherwise agreed in writing.
Refund Policy: All fees are non-refundable except as required by law.
You authorize Chaos Kollective (and its payment processors, if any) to charge your payment method for applicable fees, taxes, and other charges.
10) Third-Party Services
The Services may integrate with or link to third-party services (including Microsoft services and other platforms). Third-party services are not controlled by Chaos Kollective, and their terms and privacy practices may apply to your use of those services.
11) Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAOS KOLLECTIVE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Chaos Kollective does not warrant that the Services will be uninterrupted, secure, error-free, or that results produced by the Services will be accurate or suitable for any particular purpose.
12) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAOS KOLLECTIVE AND ITS OWNERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAOS KOLLECTIVE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO CHAOS KOLLECTIVE FOR THE SERVICES IN THE PAST 12 MONTHS, OR
- $100 USD
(Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.)
13) Indemnification
You agree to defend, indemnify, and hold harmless Chaos Kollective from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Services
- Your User Content
- Your violation of these Terms
- Your violation of any rights of another person or entity
14) Suspension and Termination
We may suspend or terminate your access to the Services at any time if we believe you violated these Terms, pose a security risk, or create legal exposure.
You may stop using the Services at any time. If your access is terminated or you cancel, your license to use the Services will continue until the end of the subscription period that was most recently paid for, unless earlier terminated by Chaos Kollective for a material breach of these Terms or as required by law.
Sections that by their nature should survive termination (including Ownership, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.
15) Changes to the Services
We may update, change, or discontinue any part of the Services at any time. We are not liable for any modification, suspension, or discontinuation.
16) Changes to These Terms
We may update these Terms from time to time. The “Last Updated” date will change. Continued use of the Services after changes become effective means you accept the updated Terms.
If changes are material, we may provide additional notice as required by law.
17) Governing Law; Venue
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Services will be brought in the state or federal courts located in Texas, and you consent to personal jurisdiction and venue in those courts.
